1. Introduction

Welcome to 3PL-Direct ("we," "us," or "our"). These Terms of Service ("Terms") govern the provision of our logistics services to you ("Client"). By engaging our services, you agree to comply with and be bound by these Terms.

2. Services Provided

We offer a range of logistics services, including but not limited to:

• Racked pallet storage

• Bulk pallet storage

• Container unloading

• Picking and packing

• Contract packing

• Transport management

The specific services to be provided will be detailed in individual Service Orders agreed upon by both parties.

3. Service Orders

Each Service Order will specify:

• Scope of services

• Fees and payment terms

• Service timelines

• Any additional terms specific to the services

Service Orders become effective upon mutual agreement and are subject to these Terms.

4. Fees and Payment

• Fees: Fees for services will be outlined in the respective Service Order.

• Invoicing: We will invoice you as specified in the Service Order.

• Payment Terms: Payments are due within 7 days from the invoice date.

• Late Payments: Late payments may incur interest at a rate of 10% per annum above the Bank of England base rate.

5. Client Obligations

You agree to:

• Provide accurate and complete information necessary for us to perform the services.

• Ensure timely availability of goods for logistics services.

• Comply with all applicable laws and regulations related to the goods and services.

6. Limitation of Liability

• Our Liability: Our liability for any claim arising out of or in connection with the services shall be limited to the amount paid by you for the specific service in question.

• Exclusions: We shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits or revenue.

7. Insurance

We maintain insurance coverage as required by law. It is your responsibility to insure your goods against loss or damage during transit or storage.

8. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information obtained during the course of the services, except as required by law or with prior written consent.

9. Termination

• Termination by Either Party: Either party may terminate a Service Order with 30 days written notice.

• Termination for Cause: Either party may terminate immediately if the other party breaches a material term of these Terms or a Service Order and fails to remedy the breach within 14 days of receiving notice.

10. Governing Law and Jurisdiction

These Terms and any disputes arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction.

11. Amendments

We reserve the right to amend these Terms. Any changes will be communicated to you in writing and will apply to future Service Orders.
